Abu Dhabi Islamic Bank (ADIB) has announced the key dates for its AED 1.75 billion rights issue following shareholder approval at the General Assembly held on October 6, 2026, and regulatory approvals from the Central Bank of the UAE and the Capital Market Authority. The transaction will involve the issuance of up to 106,383,000 new ordinary shares, potentially increasing the bank’s issued share capital from AED 3.632 billion to AED 3.738 billion. The capital increase is intended to strengthen ADIB’s financial position and support its long-term growth ambitions under Vision 2035.
Under the proposed terms, shareholders registered by the eligibility date of November 2, 2026, will receive one subscription right for every 34.14 existing ADIB shares held. Each right will entitle its holder to subscribe for one new share at AED 16.45, comprising a nominal value of AED 1.00 and a share premium of AED 15.45. The subscription price represents a 28.8% discount to ADIB’s closing share price on August 24, 2026. Investors seeking to qualify for the rights issue must complete their share purchases by October 29, 2026, subject to the applicable settlement requirements.
The subscription rights are scheduled to trade on the Abu Dhabi Securities Exchange (ADX) from November 4 to November 16, 2026, while the subscription period will run from November 10 to November 24, 2026. The newly issued shares are expected to begin trading on December 18, 2026. Shareholders who do not wish to subscribe may sell their rights during the designated trading period. However, those who neither exercise nor sell their rights may experience dilution in their percentage ownership following the issuance of the new shares.
ADIB will act as the receiving bank for the rights issue. Eligible investors will be able to subscribe through the ADX ePortal, participating ADIB branches, and the ADIB Mobile App, subject to the relevant eligibility and access requirements. These channels are intended to facilitate participation by existing shareholders throughout the subscription period.
Mohamed Abdelbary, Group Chief Executive Officer of ADIB, stated that the bank was entering its next phase of growth from a position of strength. The capital increase is designed to help ADIB pursue opportunities under its Vision 2035 strategy while maintaining a robust capital position. The additional capital is expected to support financing growth, strengthen corporate and private banking relationships, and facilitate continued investment in digital banking infrastructure.
As of June 30, 2026, ADIB reported total assets of AED 304 billion, highlighting its significant presence in the UAE banking sector and the broader Islamic finance industry. The proposed rights issue represents a strategic step toward supporting the bank’s expansion plans and strengthening its capacity to respond to emerging opportunities in the regional financial market.
The transaction also reflects the wider development of capital markets across the Gulf Cooperation Council (GCC) region, where banks continue to explore funding options to support business expansion, infrastructure financing, and private-sector growth. For ADIB shareholders, the tradable rights structure offers flexibility to subscribe to new shares to help maintain their proportional ownership, sell their rights during the permitted trading period, or choose not to participate and accept the resulting dilution.
The discounted subscription price is intended to encourage shareholder participation and support the successful completion of the capital increase. The transaction highlights the importance of equity financing in enabling Islamic banks to strengthen their capital bases, manage regulatory requirements, and pursue sustainable growth. As the UAE continues to develop its Islamic finance ecosystem, ADIB’s proposed rights issue represents a notable development in the country’s banking and capital markets landscape.
